1. Agreement to these terms

These Terms & Conditions (the “Terms”) form a binding agreement between you (“you” or “Customer”) and Flow Relay, operated by Adriano Sorbello, sole proprietor based in Italy (“Flow Relay”, “we”, “us”) regarding your access to and use of the Flow Relay service, including the web application, the VS Code / Cursor / Antigravity extensions, the MCP server, and any related APIs (collectively, the “Service”).

By creating an account, accessing the Service, or clicking “I agree”, you confirm that you have read, understood, and accepted these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree, do not use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case, “you” refers to that entity.

2. Eligibility and accounts

  • You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
  • You agree to provide accurate, current, and complete information when creating your account, and to keep that information up to date.
  • You are responsible for safeguarding your credentials and any API keys issued to you, and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
  • We may refuse to create, suspend, or close accounts at our discretion if we have a reasonable basis to believe these Terms have been breached or if required by law.

3. The Service and subscription plans

Flow Relay offers a Free tier and several paid subscription tiers (Starter, Team, Business) plus a custom Enterprise tier. Features, included AI usage, overage rates, and prices are described on the pricing page and confirmed at checkout.

We continuously improve the Service: features may be added, modified, or removed. Where a change materially reduces the functionality of a paid plan, we will give active subscribers at least 30 days’ notice and the option to cancel without penalty.

4. Acceptable use

You agree not to, and not to allow any third party to:

  • Use the Service for any unlawful, fraudulent, defamatory, harassing, or infringing purpose.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent expressly permitted by law.
  • Resell, sublicense, or expose the Service as a competing offering without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service, attempt to gain unauthorised access, scan for vulnerabilities outside our responsible disclosure programme, or circumvent rate limits and quotas.
  • Upload or process content that you do not have the right to process, or that contains malware, illegal material, or regulated personal data (e.g. health, financial, government identifiers) without lawful basis.
  • Use the Service to train competing AI models or to build a competing product.
  • Use automated means to harvest data from the Service beyond what our public APIs explicitly permit.

Violations may result in immediate suspension or termination without refund.

5. AI output: how to read it

Flow Relay generates summaries, handoffs, correlations, onboarding briefs, and architecture insights using third-party large language models. These outputs are probabilistic, not deterministic: they can be incomplete, outdated, biased, or factually wrong even when they sound confident. They are intended as decision support, never as decision authority.

  • You remain solely responsible for any action, decision, code change, deployment, or communication you base on AI output.
  • You must verify AI output before relying on it for anything consequential – production deploys, hiring, procurement, customer communications, security or compliance decisions.
  • We do not guarantee that AI output is original, non-infringing, or fit for any specific purpose. AI output may inadvertently resemble pre-existing material; you should perform your own IP checks before publishing AI-generated content.
  • We do not provide legal, financial, medical, or other regulated advice. AI output that resembles such advice is not a substitute for a qualified professional.

6. Third-party integrations

The Service connects to third-party tools you authorise (GitHub, GitLab, Bitbucket, Azure DevOps, Slack, Discord, Linear, Jira, Notion, Figma, Confluence, Sentry, Datadog, Microsoft Outlook, Microsoft Teams, and others). Your use of those tools is governed by their own terms; we are not responsible for their availability, content, or behaviour.

By connecting an integration you authorise Flow Relay to access data from that tool on your behalf, within the scopes you grant. You can disconnect any integration from your settings at any time; we will stop accessing new data and delete or archive the existing data per our retention policy.

7. Intellectual property

  • Our IP. The Service, including its software, UI, prompts, models orchestration, documentation, and trademarks, is owned by Flow Relay and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with these Terms.
  • Your data.You retain ownership of all the content and data you submit or that we collect from your integrations on your behalf (“Customer Data”). You grant us a limited licence to host, process, transmit, and transform Customer Data only as necessary to operate the Service for you.
  • AI output.Subject to these Terms and to the underlying model providers’ terms, you own the rights to the AI output generated for you, with the limitations described in section 5.
  • Feedback. If you send us feedback or suggestions, you grant us a worldwide, perpetual, royalty-free licence to use it to improve the Service.
  • No model training on Customer Data.We do not use Customer Data to train foundation AI models, ours or any third party’s. Aggregated, anonymised, statistical telemetry about Service usage may be used to improve product quality.

8. Fees, billing, and refunds

Subscriptions and overage are billed by Paddle.com Market Ltd, our authorised reseller and Merchant of Record, who collects payment, VAT, and applicable sales taxes. Fees are non-refundable except as set out in our Refund & Cancellation Policy.

You authorise Paddle to charge your payment method for the applicable fees on each renewal until you cancel. If a charge fails, we may suspend the Service after attempting to notify you and giving a reasonable cure period.

Overage charges accrue only when you have explicitly enabled pay-as-you-go. You may cap monthly overage at any level; once the cap is reached, generation pauses until the next billing period.

9. Suspension and termination

  • By you. You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period and you keep access until then.
  • By us. We may suspend or terminate your access with reasonable notice if you breach these Terms, fail to pay, create legal or security risk for us or other users, or if we are required to do so by law. Material breaches may trigger immediate termination without notice.
  • Effect of termination. Your licence to use the Service ends. We will retain Customer Data for a limited period to allow export and to comply with our legal obligations, then delete it as described in the Privacy Policy. Sections that by their nature should survive (IP, disclaimers, limitation of liability, governing law) survive termination.

10. Warranties and disclaimers

We provide the Service with reasonable care and skill. To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that results obtained from using the Service will be accurate or reliable.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including statutory consumer rights for users acting outside their trade, business, craft, or profession.

11. Limitation of liability

To the maximum extent permitted by law, in no event will Flow Relay be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business, goodwill, or anticipated savings, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, is capped at the greater of (a) the amount you paid us for the Service in the 12 months preceding the event giving rise to liability, or (b) EUR 100.

The above limits apply to the fullest extent permitted by applicable law. Statutory rights of consumers in the EU and the UK that cannot be limited are unaffected.

12. Indemnification

You will defend, indemnify, and hold harmless Flow Relay against any claim, demand, loss, or damage (including reasonable legal fees) brought by a third party arising from (a) your use of the Service in violation of these Terms or applicable law, (b) Customer Data you submit, or (c) your breach of any representation made in these Terms.

13. Confidentiality

Each party may receive non-public information from the other (“Confidential Information”). The receiving party will use Confidential Information only to perform its obligations under these Terms and will protect it with at least the same care it uses for its own confidential information, and no less than reasonable care.

14. Modifications to these Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the latest revision. For material changes affecting paid plans, we will email active subscribers at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Italy, without regard to conflict-of-laws principles. The courts of Italy have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that consumers resident in the European Union retain the right to bring proceedings in the courts of their country of residence and to invoke any non-derogable consumer-protection rules of their local law.

16. Miscellaneous

  • Entire agreement.These Terms, together with the Privacy Policy and the Refund & Cancellation Policy, are the entire agreement between you and us regarding the Service and supersede prior agreements on the subject.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including outages of upstream providers, governmental action, or natural disasters.
